The Punch — Terms of Use and End User Licence Agreement

Product: The Punch, a punch-list add-in for Autodesk Revit

Version: 0.1.0

Brand: Caltior

Offered by: Duckbird LLC, under the Caltior brand

Document date: 3 August 2026 · Document revision: SCHEDULE-P-2026-08-07 — revision 6

Revision history: rev 1, 27 July 2026 (first publication). rev 2, 27 July 2026 (clauses 15.1 and 20.5: support and notices address corrected to Caltior@caltior.io, replacing an address that did not accept mail). rev 3, 28 July 2026 (clauses 6.1 and 6.2: Revit 2026 corrected to supported. The previous wording stated Revit 2026 had no shipping configuration, manifest or installer path — true when first written, and no longer true. The storefront and the installer both cover Revit 2024, 2025 and 2026, and this correction brings these terms into agreement with them. No entitlement is reduced by this change). rev 4, 2 August 2026 (clauses 6.1 and 6.2: Revit 2023 added to commercial support. Owner confirms the shipping installer includes a functional 2023 path; storefront and these terms now state Revit 2023, 2024, 2025 and 2026. No entitlement is reduced by this change). rev 6, 3 August 2026 (clauses 6.1 and 6.2: Revit 2022 added to commercial support. Installer ships a dedicated 2022 payload with Newtonsoft.Json 13.0.1 for hosts that lack it. No entitlement is reduced by this change). rev 5, 2 August 2026 (clause 7.1.1: July 2026 launch promotion recorded as closed/ended; storefront no longer offers it. Standard monthly and annual prices in 7.1.2 and 7.1.3 are the current offer. No entitlement is reduced for customers whose first period was already billed under the closed promotion). rev 7, 4 August 2026 (clauses 15.1 and 20.5: support and notices address updated to Caltior@caltior.io per Owner; replaces Caltior@caltior.io as the public contact mailbox).

Read this first — three things to know before you buy

1. The Punch writes data into your Revit model files. It is not a viewer or a reporting tool that sits outside your project. Punch item data is stored inside the .rvt model itself using Revit Extensible Storage, which means installing and using The Punch modifies your project data. Keep backups of any model you use it on. Clause 11 covers this in full, and clauses 12 and 13 limit what Caltior is responsible for if something goes wrong. Please read all three before you buy.

2. The installer is not code-signed. Caltior has not yet purchased a code-signing certificate. When you run the MSI, Windows SmartScreen will warn you that the publisher is unknown. This is expected and is not a sign that the download is compromised — but you should verify you downloaded it from caltior.io and nowhere else. Clause 10 covers this.

3. The Punch is currently sold in the United States only. Caltior has not yet completed the regulatory, licensing and tax obligations that selling into other territories requires, and would rather decline a sale than make one it is not properly set up to make. If you are outside the US, The Punch is not available to you yet. Clause 7.10 covers this.

None of these three facts is buried in this document, because none of them should be a surprise after you have paid.

1. These terms

1.1 These terms are the agreement between you and Caltior for your use of The Punch. By installing or using The Punch, you accept them.

1.2 If you are accepting these terms for a company or other organisation, you confirm you are authorised to do so, and "you" means that organisation.

1.3 If you do not accept these terms, do not install The Punch. If you have already paid, contact Caltior — see clause 7.4 on refunds.

2. Who you are contracting with

2.1 The Punch is offered under the Caltior brand by Duckbird LLC, the contracting seller and payment recipient. You are contracting with Duckbird LLC, a Delaware limited liability company, for your use of The Punch.

2.2 Duckbird LLC's business address for these terms is 8 The Grn Ste A, Dover, DE 19901, United States.

2.3 "Caltior" is the brand The Punch is sold under. "We", "us" and "our" in these terms mean Duckbird LLC, except where a clause expressly names a different party. Where these terms say "Caltior" does or may do something, that obligation or right is Duckbird LLC's.

2.4 Payment is processed by Stripe on behalf of Duckbird LLC. Your receipt and bank statement may show the payment processor or merchant descriptor used for the charge.

2.5 Caltior may in future be operated by a separate company. If the contracting party changes, clause 20.4 governs the transfer: your rights are not reduced, you are given any notice required, and access you have already paid for continues.

3. What you are buying

3.1 You are buying a licence to use The Punch for as long as your subscription is paid and current. You are not buying the software itself.

3.2 The software is licensed, not sold. Caltior keeps ownership of it. Clause 14 sets this out.

3.3 Your licence is enforced by a signed licence file with an expiry date matching the period you have paid for. When that date passes without renewal, the licence expires and creating and browsing punch items stops working. Export CSV continues to work regardless — see clause 8.3. See clauses 7 and 8.

4. What your licence allows

4.1 Subject to these terms and to your subscription being current, Caltior grants you a non-exclusive, non-transferable, revocable licence to install and use The Punch.

4.2 Scope: one named individual per subscription. One subscription covers use by one named person. That person may install The Punch on more than one computer they personally use — for example a desktop and a laptop — but the licence may not be shared with, passed to, or used concurrently by anyone else. If you need to cover more people, buy a subscription for each.

4.3 You may use The Punch on any Revit project you are lawfully entitled to work on, including client projects and commercial work. Punch item data and CSV exports you create are yours; Caltior claims no rights over them.

4.4 If you change employer or the named user changes, tell Caltior and the licence can be reassigned. A subscription may not be rotated between people to avoid buying additional seats.

5. What your licence does not allow

You may not:

5.1 Copy, distribute, resell, sublicense, rent, lend, or host The Punch for anyone else's use.

5.2 Share your licence file, or attempt to alter, forge, bypass, or defeat the licence check or its expiry date.

5.3 Reverse engineer, decompile, or disassemble The Punch, or attempt to derive its source code — except to the exact extent that applicable law gives you a right to do so that cannot be excluded by contract.

5.4 Remove or obscure any copyright, trademark, or ownership notice.

5.5 Use The Punch to build a competing product, or use it in a way that breaks the law or Autodesk's own terms for Revit.

6. Revit versions and your own Revit licence

6.1 The Punch is commercially supported on Autodesk Revit 2022, 2023, 2024, 2025 and 2026.

6.2 Revit 2022 and 2023 are supported as of the current shipping installer. Earlier published terms stated otherwise while commercial evidence was still limited; that restriction is withdrawn. You still need your own valid Autodesk Revit licence for whichever year you run (clause 6.3).

6.3 The Punch is an add-in. It requires your own valid, separately licensed installation of Autodesk Revit. Caltior does not supply Revit and is not affiliated with or endorsed by Autodesk.

6.4 If a future release of The Punch drops support for a Revit version you use, you may cancel under clause 7.3 and stop paying.

7. Subscription, payment, and renewal

7.1 The available subscription prices are:

7.1.1 July 2026 launch promotion — closed. For subscriptions that began between 1 July and 31 July 2026, the first monthly billing period was USD $8.00, then renews at USD $12.00 per month. That one-period launch promotion has ended and is not offered for new subscriptions. Customers already billed under it keep the period they paid for; later renewals are at the standard monthly price.

7.1.2 Standard monthly plan (current offer). For new monthly subscriptions, the price is USD $12.00 per month.

7.1.3 Annual plan (current offer). For new annual subscriptions, the price is USD $120.00 per year, paid upfront and recurring annually. This is equivalent to USD $10.00 per month over the paid year.

7.2 Payment is processed by Stripe. Card details are handled by Stripe and are not held by Caltior. Stripe's own terms apply to the payment itself.

7.3 The subscription renews automatically on the cadence you choose — monthly or annually — until you cancel. You may cancel at any time, effective at the end of the period you have already paid for. Cancelling stops the next renewal; it does not shorten a paid period and does not, by itself, entitle you to money back — see 7.4.

7.4 Refunds: none, beyond what the law requires.

7.4.1 Payments are not refundable. Cancelling stops future payments; it does not refund a payment already taken.

7.4.2 There is no pro-rata refund for the unused part of a paid period. If you cancel mid-period, your licence runs to the end of the monthly or annual period you have paid for and then expires.

7.4.3 This does not, and cannot, take away rights the law gives you that an agreement is not allowed to remove. Consumer-protection law in some countries grants refund or cancellation rights that cannot be signed away. Where you have such a right, you keep it in full, and clause 7.4.1 does not apply to it. If you believe you have one, contact Caltior and say so — it will be honoured rather than argued about.

7.4.4 Nothing above limits what Caltior may choose to do voluntarily in a particular case. It sets out what you are entitled to, not the most that will ever be offered.

7.5 If a payment fails and is not resolved, the subscription lapses and clause 8 applies.

7.6 Caltior may change the price. Any change applies from your next renewal, not mid-period, and you will be told before it takes effect. If you do not want to pay the new price, cancel before that renewal.

7.7 Prices are in US dollars and exclude any sales tax, VAT, or similar charge that may apply where you are.

7.8 Supply starts immediately, and you are asked to agree to that. When you subscribe, Caltior issues your licence file straight away rather than waiting — that is the point of the product. By subscribing you request immediate supply and acknowledge that, in countries where a consumer would otherwise have a short cancellation window for digital content, beginning supply immediately at your request may end that window. This is stated here because it is the reason clause 7.4 can say what it says; it is not buried, and it is not a trick.

7.9 Auto-renewal, in plain terms: this is a recurring monthly or annual charge, depending on the plan you choose, and it continues until you cancel. Monthly renewals are USD $12.00; annual renewals are USD $120.00. You can cancel at any time through the Stripe billing portal linked from your receipt — or by emailing Caltior. Cancellation stops the next renewal and takes effect at the end of the period already paid for.

7.10 Where The Punch is sold: the United States only, for now.

7.10.1 The Punch is offered for purchase to customers in the United States. It is not currently offered in any other territory.

7.10.2 This is not a judgement about those markets. Selling software into other territories brings regulatory, licensing and tax obligations that Caltior has not yet completed, and it would rather decline a sale than make one it is not properly set up to make. Other territories will be considered once those obligations can be met.

7.10.3 If a subscription is taken out from outside the United States, Caltior may cancel it and refund what was paid. That is the one situation in which a refund is given as a matter of course, and clause 7.4 does not stand in its way: Caltior should not keep money for a sale it was not in a position to make.

7.10.4 Nothing in this clause restricts *where you may use* The Punch. It concerns where it is sold. If you subscribe in the US and then work on a project abroad, that is fine — clause 4.3 already allows it.

8. What happens when your licence expires

8.1 When a subscription is cancelled, lapses, or is not paid, your licence file expires on the last day of the period you paid for.

8.2 When the licence expires, creating and browsing punch items stops working. Those ribbon commands will refuse to run and will tell you the licence has expired. This is by design and is not a fault.

8.3 Export CSV keeps working after your licence expires. This is deliberate. Your punch items are your own data, and Caltior does not hold a read-only export of them against a lapsed subscription. You can retrieve your punch list at any time, before or after expiry, with no time limit and without resubscribing.

8.4 Your data is not deleted. Punch item data already written into your Revit models stays inside those models, and any CSV files you exported remain yours and remain readable. Without a valid licence you cannot create new items or edit existing ones through the add-in — but you can still export what is there (clause 8.3).

8.5 Resubscribing issues a new licence file and restores full access to data still held in your models. You do not need to restart Revit — the licence is re-read the next time you use a command.

9. Installation and updates

9.1 The Punch is distributed as a Windows MSI installer, downloaded from caltior.io. Do not install a copy obtained from anywhere else.

9.2 Caltior may release updates. Updates are provided under these same terms. Caltior does not promise any particular release schedule, feature, or fix.

10. The installer is not code-signed

10.1 As at the date of this document, the MSI is not code-signed. Caltior has not purchased a code-signing certificate.

10.2 The practical effect: when you run the installer, Windows SmartScreen will show an "unknown publisher" warning, and you will have to click through it to continue. Your organisation's IT policy or antivirus may also block it.

10.3 This is disclosed here so that it is not a surprise after payment. It reflects the current state of Caltior's tooling, not a problem with the download itself — provided you downloaded it from caltior.io.

10.4 If your organisation cannot install unsigned software, The Punch will not work for you today. Please do not buy it on the expectation that this changes.

11. Your project data, and backups — please read

11.1 The Punch writes into your Revit model files. Punch item records are stored inside the .rvt file itself, using Revit Extensible Storage, attached to a DataStorage element. Using The Punch modifies your project data. It also reads that data back, and can export it to CSV.

11.2 This is a deliberate design choice — it means punch data travels with the model, syncs through your central file, and needs no separate database. But it does mean the software is writing to the same files your project lives in.

11.3 You are responsible for backing up your models. Keep backups appropriate to how important the work is, before installing The Punch and on an ongoing basis afterwards. If you use a central model, follow your normal backup and sync practice.

11.4 Software can have defects. The Punch is an early commercial release. A defect that corrupts, loses, or wrongly overwrites data stored in your model is a real possibility, not a theoretical one, and a current backup is the only reliable protection against it.

11.5 Caltior strongly recommends trialling The Punch on a copy of a model before using it on live project work.

11.6 CSV files you export are written to a location you choose and are then entirely under your control. Caltior does not receive them.

11.7 Caltior does not receive, collect, or have access to the contents of your Revit models, and the licence mechanism transmits nothing whatsoever. Your licence is a signed file read from your own disk and verified against a key built into the add-in. There is no activation call, no licence server, no check-in, and no usage reporting — The Punch makes no network request of any kind. Verified 2026-07-27 by source inspection: the licensing code contains no HTTP or network client at all; the only web address it holds is the caltior.io link shown to you in an error message. A practical consequence you may care about: The Punch works entirely offline, including on air-gapped or restricted site networks.

12. No warranty

12.1 The Punch is provided "as is" and "as available", without warranty of any kind, express or implied.

12.2 In particular, Caltior does not warrant that The Punch will be free of defects, will run without interruption, will be compatible with your particular Revit configuration, add-ins, hardware, or workflow, or that it will preserve the integrity of data written to your models.

12.3 To the fullest extent the law allows, all implied warranties and conditions — including any as to merchantability, satisfactory quality, or fitness for a particular purpose — are excluded.

12.4 Nothing in this clause affects any legal rights you have as a consumer that cannot be excluded by agreement. Where such rights apply, they stand.

13. Limitation of liability

13.1 This clause matters. Please read it alongside clause 11. The Punch is a low-cost subscription — USD $12.00 monthly or USD $120.00 annual — and writes into project files that may be worth a great deal more. The allocation of risk below is what makes it possible to offer the product at those prices.

13.2 Caltior is not liable for: loss of or damage to data; corruption of Revit models; loss of profit, revenue, business, contracts, or anticipated savings; loss of goodwill; project delay; the cost of reconstructing lost work; or any indirect or consequential loss — however caused, and whether or not Caltior was told such loss was possible.

13.3 Where Caltior is liable, its total aggregate liability to you, for all claims arising out of or in connection with The Punch and these terms, is limited to the total amount you actually paid Caltior in the twelve (12) months immediately before the event giving rise to the claim.

13.4 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.

13.5 You accept that keeping backups (clause 11.3) is your responsibility, and that the limits in this clause are reasonable given the price of the product and the fact that you control your own backup practice.

14. Intellectual property

14.1 The Punch, including its source code, compiled binaries, interface, documentation, name, and branding, is and remains the property of Caltior. All rights not expressly granted in clause 4 are reserved.

14.2 Nothing in these terms transfers any ownership of the software to you.

14.3 Your project data is yours. Punch items, model content, and CSV exports you create using The Punch belong to you, and Caltior claims no licence or interest in them.

14.4 "Autodesk" and "Revit" are trademarks of Autodesk, Inc. Caltior is not affiliated with, authorised by, or endorsed by Autodesk.

15. Support

15.1 Support requests may be sent to Caltior@caltior.io.

15.2 No response time or service level is promised in this document, and none should be inferred. Support, where offered, is provided on a reasonable-efforts / best-effort basis only.

15.3 Support does not extend to your Revit installation, your hardware, your network, other add-ins, or the content of your models.

16. Privacy and personal data

16.1 Caltior processes a small amount of personal data: the name and email address used to buy the subscription (handled by Stripe as payment processor), and the email address embedded in your licence file so it can be identified as yours. Punch items you create — including any assignee names you type — are written into your own Revit model and are never transmitted to Caltior. The add-in makes no network connection of any kind. See the Privacy Notice for detail and for how to make a request about your data.

16.2 Payment details are handled by Stripe under Stripe's own privacy terms. Caltior does not store your card details.

16.3 Caltior does not receive the contents of your Revit models. See clause 11.7.

17. Changes to these terms

17.1 Caltior may change these terms — for example to reflect changes to the product, the law, or the way it operates.

17.2 If a change is material and unfavourable to you, Caltior will give you at least 30 days notice before it takes effect, sent to the email address on your subscription.

17.3 If you do not accept a change, cancel before it takes effect. Continuing to use The Punch after that date means you accept the changed terms.

17.4 Changes will not be applied retrospectively to a period you have already paid for.

18. Termination

18.1 You may terminate at any time by cancelling your subscription. Clause 8 applies.

18.2 Caltior may terminate or suspend your licence if you materially breach these terms — in particular clause 5. Where the breach can be put right, Caltior will give you notice and a reasonable chance to fix it first, unless the breach is deliberate.

18.3 If Caltior terminates for breach, no refund is due for the remainder of the current period.

18.4 If Caltior discontinues The Punch, it will give reasonable notice, stop taking further payments, and let every licence already paid for run to its expiry date. Your last paid month is served in full; discontinuation does not cut it short. On that basis no refund arises, because nothing you paid for goes undelivered.

18.4.1 Caltior will not stop supply part-way through a period you have paid for. Refusing a refund *and* withdrawing access mid-period would be keeping money for something not provided, which is a different matter from clause 7.4 — there, you chose to leave; here, Caltior did.

18.5 On termination, you must stop using The Punch and uninstall it. Clauses 8.3, 12, 13, 14, and 19 survive termination.

19. Governing law and disputes

19.1 These terms, and any dispute arising out of them, are governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-laws rules.

19.2 The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction, except that nothing prevents a consumer from bringing proceedings where local consumer law entitles them to do so.

19.3 Because The Punch is sold in the United States only (clause 7.10), US law is the law that should apply to essentially every subscription. Clause 7.4.3 nonetheless preserves any non-excludable local rights, for the case of a subscription taken from outside the US before Caltior can decline it.

20. General

20.1 Entire agreement. These terms are the whole agreement between you and Caltior about The Punch, and replace any earlier discussion or representation.

20.2 Severability. If any clause is found unenforceable, the rest continues to apply.

20.3 No waiver. If Caltior does not enforce a right immediately, it does not lose it.

20.4 Assignment and affiliate transfer. You may not transfer your licence or these terms to anyone else without Caltior's written agreement. Caltior may transfer these terms, your subscription relationship, and related customer records to an affiliate under common ownership as part of consolidating the commercial relationship, provided: (a) your rights under these terms are not reduced; (b) any notice required by these terms or applicable law is given; and (c) subscription continuity and paid access for the period already paid are preserved. A transfer under this clause is not a new sale and does not restart a refund or cooling-off period. Other assignment by Caltior as part of a sale or reorganisation of its business is also permitted on the same "rights not reduced" condition.

20.5 Notices. Caltior will contact you at the email address on your subscription. You can contact Caltior at Caltior@caltior.io or by post to Duckbird LLC, 8 The Grn Ste A, Dover, DE 19901, United States.
