This End User Licence Agreement, including this Schedule A and the Caltior Master Terms (together, the Agreement), is a binding contract between you and Duckbird LLC, a Delaware limited liability company doing business as Caltior (Caltior, we, us). If you accept for an organisation, you represent that you are authorised to bind it, and you means that organisation.
By checking the acceptance box, paying, downloading, installing, or using The Punch on AutoCAD (also marketed as The Punch - AutoCAD), you accept this Agreement. If you do not accept, do not install or use the software.
Caltior licences you the object-code software identified as ProductId ThePunchAutoCAD, for use only with Autodesk AutoCAD versions 2024, 2025, 2026, and 2027 as commercially supported at the time of your subscription (the Software). AutoCAD 2028 and later are outside this product until Caltior publishes otherwise.
The Software is licensed, not sold. No title or ownership in the Software, its source, object code, documentation, names, or branding transfers to you. All rights not expressly granted are reserved to Caltior.
The Punch (Revit / Navisworks, ProductId ThePunch, Schedule P) is a different product. A licence file, ProductId, or seat for one product does not satisfy the other.
Subject to this Agreement and a current paid subscription, Caltior grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your internal business purposes, as follows:
Your licence is evidenced by a signed licence file issued for ProductId ThePunchAutoCAD and stored under your control for this product. When the paid period ends without renewal, the licence expires and the licensed functions stop as designed.
Except to the limited extent that applicable law cannot be excluded, you shall not, and shall not permit any third party to:
Caltior's methods, formats, and technical protections are confidential information and trade secrets of Caltior, whether or not marked. You will not disclose them or use them except as required to use the Software under this licence.
For a new sale, the price is the USD amount displayed and accepted at checkout for this product and billing period. Applicable tax may be added at checkout. Recurring subscriptions renew automatically until you cancel, effective at the end of the then-current paid period. A subscription that began at a prior published AutoCAD price continues to renew at that subscription's Stripe price until it is cancelled.
Payments are not refundable except as required by law. There is no contractual trial and no money-back guarantee. When Caltior delivers the installer or licence after payment, you request immediate supply of digital content. Non-excludable statutory rights, if any, are not excluded.
You retain all rights in your drawings and in punch items you create using the Software. Caltior claims no ownership of that content and does not operate a public punch-list cloud for this product. You are responsible for backing up your project and for how you use the Software.
THE SOFTWARE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALTIOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Caltior does not warrant uninterrupted or error-free operation, compatibility with every AutoCAD configuration, or that the Software will meet your requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALTIOR SHALL NOT BE LIABLE FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, WHETHER OR NOT ADVISED OF THE POSSIBILITY.
CALTIOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT AND THE SOFTWARE IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID CALTIOR FOR THIS PRODUCT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
Nothing in this Agreement excludes liability that cannot be excluded under applicable law (including, where mandatory, liability for fraud or for death or personal injury caused by negligence).
You acknowledge that unauthorised use, copying, sharing of licence files, circumvention of licence controls, or disclosure of Caltior confidential methods would cause irreparable harm. Caltior is entitled to seek injunctive or other equitable relief, in addition to damages and termination, without posting a bond to the extent permitted by law. Those remedies are not exclusive.
On reasonable notice, Caltior may request a written certification of your compliance with seat and licence restrictions, and, no more than once in any twelve-month period unless Caltior reasonably suspects a breach, may audit your use of the Software during business hours in a manner intended to minimise disruption. You will promptly cure any shortfall by purchasing required seats.
This product is offered for purchase to customers whose billing country is in the same territories as The Punch (Schedule P clause 7.10): the United States, Australia, Brazil, Europe (EU member states, the United Kingdom, and the EEA), Central America, South America, Canada, India, New Zealand, Singapore, Mexico, Switzerland, the Caribbean, and China (CN). Cuba is not sold. Hong Kong, Macau, and Taiwan are not this pack. Use location is not a grant of sale into a closed market.
AutoCAD and Autodesk are trademarks of Autodesk, Inc. Caltior is not affiliated with, authorised by, or endorsed by Autodesk. You must hold your own valid AutoCAD licence.
This licence continues for the paid period and any authorised renewal. You may stop using the Software and cancel renewal as offered at checkout or by notice to Caltior. Caltior may suspend or terminate the licence immediately if you materially breach Sections 3 or 4, or after notice and a reasonable opportunity to cure other remediable breaches. On expiry or termination you must cease use and uninstall. Sections 4, 6 through 11, 13, and 14 survive.
This Agreement is governed by the laws of the State of Delaware and the federal laws of the United States, without regard to conflict-of-laws rules. Exclusive venue lies in the state and federal courts located in Kent County, Delaware, except where mandatory law entitles a consumer to another forum.
This Agreement (Master Terms plus this Schedule A) is the entire agreement for The Punch on AutoCAD and supersedes prior discussions and marketing statements. If a provision is unenforceable, the remainder continues. Failure to enforce is not a waiver. Caltior may assign this Agreement to an affiliate or in connection with a reorganisation or sale of assets, provided your rights are not reduced. You may not assign without Caltior's written consent. Schedule A controls for this product if it conflicts with the Master. Schedule P does not apply. Marketing pages do not amend this Agreement.
